Article I – Dues
The dues of this organization
shall be determined by the officers, subject to the approval of the general
membership at any general meeting by a simple majority of those present.

The dues shall be payable per
fiscal year, July 1 to June 30.

Article II – Term of Office
-
The term of office for the
Co-Vice Presidents will be one year, after which the Co-Vice Presidents
automatically assume the office of Co-President for one year.

The term of the Co-Treasurer,
Secretary, and the “ex-officio” Faculty Representatives will be two years.
-
The office of Co-Treasurer must
be held by two (2) individuals.
-
No officer or “ex-officio”
member serving a full two-year term shall be eligible for a consecutive term in
the same office.
-
No officer shall hold more than
one office at any time.
-
Vacancies of an officer shall
be filled by the President and/or Co-Presidents.
-
Vacancies of an “ex-officio”
member shall be filled by the Principal of St. Antoninus School.
-
Each term of office will begin
July 1 and end June 30, coinciding with our fiscal year.

Article III – Duties of Officers
and "Ex-Officio" Members
The President and/or
Co-Presidents shall:
-
Be the chief executive officer
of this organization.
-
Preside at all general meetings
and special meetings.
-
Appoint chairpersons of
standing committees.
-
Appoint special committees and
their chairpersons.
-
Call special meetings.
-
Be an “ex-officio” member of
all committees except the Nominating Committee.
-
Work closely with the St.
Antoninus Parish Council liaison.
-
Perform such other duties as
are pertinent to the office.
The Vice-President and/or
Co-Vice Presidents shall:
-
Preside at meetings in the
absence of the President and/or Co-Presidents.
-
Assume office of the President
and/or Co-Presidents if a vacancy occurs.
-
Have such powers and perform
such duties as may from time to time be assigned by the President and/or
Co-Presidents.
-
At the conclusion of a one (1)
year term of office as Vice President and/or Co-Vice Presidents, he/she shall
become President and/or Co-President for one year.
-
Perform such other duties as
are pertinent to the office.
The Co-Treasurers shall:

Handle all finances of the
organization.
-
Prepare a financial report of
all events.
-
Give a financial report at all
meetings of the organization.
-
Prepare an annual report of all
members who have paid their dues.
-
Perform such other duties as
are pertinent to the office.
The Secretary shall:
-
Keep an accurate record of all
meetings.
-
Keep an accurate record of the
Constitution and By-Laws to include filing and dating all Amendments to the
Constitution and verify that there are two (2) signatures on all Amendments.
-
Conduct all general
correspondence of this organization.
-
Perform such other duties as
are pertinent to the office.
The Faculty Representative
shall:
-
Represent
the faculty at all Board and general meetings.
-
The
Faculty Representative will be a liaison between PTO and faculty. He/she will
report on PTO activities at faculty meetings, coordinate faculty efforts with
respect to PTO activities, and provide feedback from faculty to PTO.
-
Perform
such other duties as are pertinent to the office.

Article IV – Nominations and Elections
The Nominating Committee shall
consist of a minimum of two (2) members, excluding the President and/or
Co-Presidents. The members of the Nominating Committee shall be appointed
by the President and/or Co-Presidents. It shall be the duty of this
committee to nominate candidates for the office to be filled at the May meeting.
Nominations from the floor shall be called for.

Elections shall be held
annually.
-
Any faculty or administration,
who is a parent of a current student of St. Antoninus School, is not eligible to
hold an office of this organization. He/She is eligible to be appointed as
an “ex-officio” Faculty Representative.
-
In odd
numbered years, a Vice President or Co-Vice Presidents, and Co-Treasurers will
be elected. One “ex-officio” Faculty Representative will also be appointed.
-
In even
numbered years, a Vice President or Co-Vice Presidents and Secretary will be
elected. One “ex-officio” Faculty Representative will also be appointed
-
The
“ex-officio” Faculty Representative will be chosen at the discretion of the
Principal.
-
The position of Vice President
or Co-Vice President, Co-Treasurers, and Secretary will be nominated through the
Nominating Committee and approved by a simple majority vote of members present
at the final regularly scheduled general meeting of the fiscal year.
-
Installation of the new
officers shall take place at the final regularly scheduled general meeting of
the fiscal year.

Article V – Audit
The fiscal year shall be from
July 1 to June 30.

An auditor shall be appointed
by the President and/or Co-Presidents to audit the accounts of the Treasurer
annually.

Article VI – Fund Disbursements
The disbursements of funds
shall be approved at any regular or special meetings by a simple majority of
those present.
-
In the event funds need to be
disbursed between regular meetings, a decision can be made at the discretion of
the officers.
-
A limit of $300.00 may
be approved per incident by the President(s) without the consent of members.
-
Each disbursement shall require
two (2) signatures. Signers on the account shall be each Co-Treasurer, the
Pastor of St. Antoninus, and one President or Vice President.
-
No funds may be withdrawn via a
debit or ATM card.

Article VII – Amendments
These By-Laws may be amended at
any regular or special meeting by a two thirds plus one (1) majority of those
members present, providing that notice of such amendments be given at the
previous meeting or that notice be published in the church bulletin and in the
weekly school newsletter for at least two (2) publications prior to the general
or special meeting.
ROBERT’S RULES OF ORDER,
REVISED,
shall be the authority of all questions of parliamentary law not covered by the
Constitution and By-Laws.

Article VIII – Voting Rights
-
Each member shall have one (1)
vote at all general and special meetings.
-
Each officer shall have one (1)
vote at all board meetings.
-
“Ex-Officio” members shall have
no voting rights.
-
Each vote will be decided by
Simple Majority vote, unless otherwise specified.
